Welcome to Raya Space, Kathmandu's leading coworking destination. These Terms of Service ("Terms") establish the rules and guidelines for using our coworking facilities and related services. By using Raya Space, you agree to abide by these Terms. If you disagree with any part of these Terms, please do not use our services.

TERMS OF SERVICE

WHO IS ELIGIBLE TO USE OUR SERVICES?

Only users of legal age as per applicable law can access our Service. By using the Service, you confirm that you meet this age requirement and wish to form a binding contract with us. If you're using our Services on behalf of a company, organization, or any legal entity, confirm that you have the authority to bind the entity to these Terms.

PRIVACY

WHAT WE PROVIDE

Raya Space provides the following facilities and services to its members, as well as their guests and visitors (with access according to their host's membership package or additional bookings):

• Open workspace desks;
• Private Office Space;
• Access to conference rooms;
• High-speed internet and Wi-Fi;
• Entry to premium common areas, including the terrace;
• Use of kitchen;
• Complimentary parking for members, guests, and visitors, subject to availability;
• Option to use the workspace and other Raya Space premises for corporate events or full-day meetings

USE OF SERVICES

When you use our Services, we expect you to do so responsibly, ethically, and in line with these guidelines. Our aim is to create a space where everyone can enjoy a safe and positive experience, so here's what you need to know:

You may only use our Services if you agree to follow all relevant laws, regulations, and our own guidelines. Illegal activities, abusive behavior, and any form of harassment are strictly off-limits. We reserve the right to take appropriate action if these rules are violated.

MISUSE OF SERVICES

At Raya Space, we are committed to maintaining a professional, safe, and respectful coworking environment for all our members. To ensure this, we strictly prohibit any misuse of our services. By using Raya Space, you agree not to engage in activities that:

• You shall not use our facilities or services for any unlawful activities, including but not limited to fraud, money laundering, illegal trade, or activities that violate local, national, or international laws and regulations.
• Any form of harassment, abuse, intimidation, or discrimination against other members, guests, or Raya Space staff is strictly prohibited. This includes offensive or inappropriate behavior, whether verbal, physical, or digital.
• You agree not to damage, vandalize, or misuse any equipment, furniture, or property belonging to Raya Space or any of its members. Any intentional damage caused will result in liability for repair or replacement costs.
• Accessing areas or services that you have not been granted permission to use, tampering with security systems, or attempting to bypass access controls is not permitted.
• The use of our network or resources to send unsolicited messages, advertisements, or communications to others without their consent is strictly prohibited.
• You shall not engage in activities that disrupt the workspace environment, such as excessive noise, inappropriate behavior, or using devices in a manner that interferes with other members' ability to work productively.
• The use of our internet and network services for activities like hacking, distribution of malware, pirated software, or accessing prohibited websites is not allowed.
• Representing yourself as someone else or misrepresenting your affiliation with a person or entity while using Raya Space's services is prohibited.

VIOLATION OF THESE TERMS

Failure to comply with these guidelines may result in the suspension or termination of your membership and access to Raya Space, at the sole discretion of management. Repeated violations may also lead to legal action, depending on the severity of the misuse. Raya Space reserves the right to take any actions deemed necessary to protect the integrity of its community and services. Let's work together to keep the Services secure and enjoyable for everyone!

PAYMENT AND FEES

Payments for Raya Space services must be made at the time of booking or according to the agreed-upon billing cycle specified in your membership plan. This ensures a smooth transaction process and uninterrupted access to our facilities. Refunds are not generally provided for cancellations made less than 24 hours before the scheduled booking time. However, exceptions may be considered at the discretion of Raya Space management, depending on the specific circumstances of the cancellation. If payments are overdue, Raya Space reserves the right to apply late fees. These charges are implemented to encourage timely payments and to maintain the financial efficiency of the services provided. Members are advised to clear dues promptly to avoid disruptions in their access to the coworking space and associated services.

USE OF PROPERTY

All physical equipment, furniture, and assets provided by Raya Space remain its sole property. Members must not damage, remove, or misuse any items. Any damage caused will be the member's responsibility. All intellectual property, including trademarks, logos, and content provided by Raya Space, is owned by Raya Space or its licensors and may not be used without permission. Content developed by members remains their own property. However, members grant Raya Space a non-exclusive license to use and promote publicly shared work created in the space. Members are responsible for protecting their own intellectual property and confidential information. Raya Space is not liable for any loss or unauthorized access to member data.

FILMING AND RECORDING

Members and guests at Raya Space are prohibited from filming, taking pictures, or recording in the coworking areas, conference rooms, and other service areas if other members or guests are visible in the content, unless explicit permission has been obtained from all individuals appearing in the footage.

PROHIBITED SUBSTANCES

Use of drugs and other illegal substances as well as alcoholic beverages and/or bringing in any hazardous materials and items is strictly forbidden in the coworking space.

PERSONAL ITEMS AND EQUIPMENT

Members at Raya Space are welcome to use their personal equipment and place belongings, such as small plants or souvenirs, on or near their desks. However, items that are offensive, illegal, or cause excessive noise, odor, or disruption to others are strictly prohibited. Members and guests are not permitted to attach blinds, stickers, curtains, or any other materials to the walls, windows, furniture, or equipment within the coworking spaces and service areas.

DISCLAIMERS, LIABILITIES AND INDEMNIFICATION

DISCLAIMER OF WARRANTIES

Raya Space provides coworking services on an "AS-IS" basis without any warranties, either express or implied. We do not guarantee the availability, security, or uninterrupted access to our services and facilities. Any advice, information, or recommendations provided by Raya Space, its staff, or through our resources are for general guidance purposes only and should not be considered as professional or legal advice.

LIMITATION OF LIABILITY

Raya Space, its directors, employees, and affiliates shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use our facilities, services, or any content provided by Raya Space. We are not responsible for any loss, damage, theft, or unauthorized access to personal property, data, or information while using our services or within our premises.

INDEMNIFICATION

By using Raya Space's services, you agree to indemnify, defend, and hold harmless Raya Space, its employees, directors, and affiliates from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or in connection with your use of the services, violation of these terms, or infringement of any rights of another individual or entity.

TERMINATION

Raya Space reserves its right to suspend or terminate any of the services hereunder at any time. Raya Space may terminate any membership, registration or subscription for use of any of the services provided hereunder with immediate effect in case of breach of this Terms of Service.

SETTLING DISPUTES, GOVERNING LAW, AND COURTS

When it comes to any disagreements, those shall be governed by the laws of Nepal, without regard to conflict of law principles. Any legal disputes arising from these Terms will be handled exclusively in the courts of Nepal, and by using our Services, you agree to their jurisdiction. At our sole discretion, you may be required to submit any disputes related to these Terms or the use of our Services to final and binding arbitration under Nepal's Arbitration Act. Any legal claim you have must be filed within 30 days from when the issue first arises, or it will be permanently barred.

GENERAL TERMS

Raya may update these Terms periodically. Any changes will not be applied retroactively, and the latest version, available at https://rayaspace.com/# will always govern your use of our Services. For significant changes affecting your rights or obligations, we'll notify you 30 days in advance via email or a service notification. By continuing to use Raya's Services after the changes take effect, you agree to be bound by the revised Terms.
